Salisbury Plugins End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “you”) and Salisbury Plugins (“Salisbury Plugins,” “we,” or “us”) governing your use of our VST plugin software (“Software”). By downloading, installing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not download, install, or use the Software.

1. Definitions

  • User: An individual who downloads, installs, or uses the Software under the terms of this Agreement.
  • Software: Salisbury Plugins’ proprietary VST plugin software, including but not limited to all associated files, data, and documentation. This includes any updates, upgrades, or patches provided by Salisbury Plugins.
  • Devices: Any personal computer, laptop, or other compatible device owned and operated by the User on which the Software is installed and used.
  • Perpetual License: A license that grants the User the right to use the Software indefinitely after a one-time payment (if applicable).
  • Trial License: A license that grants the User the right to use the Software for a limited evaluation period, typically without charge.
  • NFR (Not-for-Resale) License: A license that grants the User the right to use the Software solely for demonstration purposes, not for commercial or personal music processing.
  • Beta Program License: A license that grants the User the right to use a pre-release version of the Software for testing and feedback purposes.
  • Activation: The process of validating the Software license to enable its full functionality.
  • Documentation: Any accompanying manuals, tutorials, or help files provided by Salisbury Plugins related to the Software.

2. Grant of License

Subject to the terms and conditions of this Agreement, Salisbury Plugins grants you a non-exclusive, non-transferable, limited license to use the Software solely for your personal use on your own Devices. This license does not allow you to distribute, sublicense, rent, lease, or loan the Software.

3. License Types

Salisbury Plugins offers several types of licenses for its Software as defined in Section 1. The specific terms and conditions applicable to each license type may vary and will be communicated to the User at the time of purchase or download.

4. Number of Copies

Each User can install the Software on their own personal Devices. For site, education, or company licenses, please contact Salisbury Plugins.

5. Restrictions

You agree not to:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
  • Rent, lease, or loan the Software.
  • Interfere with the security or functionality of the Software.
  • Use the Software for illegal or prohibited purposes.
  • Use a previous version of the Software after receiving an update or upgrade.
  • Use the Software in high-risk environments such as aircraft, nuclear facilities, or life support systems.
  • Remove or obscure copyright or trademark notices.
  • Host the Software for third parties.
  • Share, distribute, or make available the installer for any version of the Software to any third party.

6. User Account

You are required to create a user account to use the Software. You are responsible for the accuracy of the information provided in your account. You may not use someone else’s account. Deleting your account will result in loss of access to the Software.

7. Activation

The Software requires activation to prevent unauthorized use. Activation helps ensure compliance with the terms of this Agreement.

8. Intellectual Property

The Software is protected by copyright laws and international treaties. All intellectual property rights in the Software belong to Salisbury Plugins. This Agreement does not grant you any ownership rights in the Software.

9. Disclaimer of Warranties

The Software is provided “as is” without any warranties, express or implied. Salisbury Plugins disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

Salisbury Plugins shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to this Agreement or the use of the Software.

11. Indemnification

You agree to indemnify and hold Salisbury Plugins harmless from and against any and all claims, damages, liabilities, costs, and expenses (including attorney’s fees) arising out of or relating to your use of the Software or your breach of this Agreement.

12. Compliance with Laws

You agree to comply with all applicable local, national, and international laws and regulations in your use of the Software.

13. Support and Maintenance

Salisbury Plugins will provide support for the Software via email. We will endeavor to respond to support requests within a reasonable timeframe. Salisbury Plugins may release updates, patches, and upgrades to the Software at its discretion.

14. Data Collection and Usage

The Software may collect non-personal usage data and analytics to help us improve its performance and functionality. This data does not identify you personally. We will not collect any personal information without your explicit consent.

15. Automatic Updates and Changes

The Software may automatically download and install updates, including bug fixes, security updates, and new features. You may be able to disable automatic updates in the Software settings. Salisbury Plugins reserves the right to modify this Agreement at any time. Any changes will be posted on our website.

16. Termination

This Agreement will terminate automatically if you breach any of its terms. Salisbury Plugins may also terminate this Agreement at any time for any reason. Upon termination, you must cease using the Software and delete all copies from your devices.

17. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.

18. Entire Agreement

This Agreement constitutes the entire agreement between you and Salisbury Plugins concerning the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
